These Terms of Service (“Terms”) are a binding agreement between you and Appmidia LLC (“Appmidia”, “we”, “us” or “our”) governing your access to and use of appmidia.com and any products, apps, digital content and services we offer (the “Services”). By using the Services or making a purchase, you agree to these Terms. If you do not agree, do not use the Services.

1. Company information

Appmidia LLC, a limited liability company organized in the United States. Address: 16710 Point Rock Dr, Winter Garden, FL 34787, United States. Email: contact@appmidia.com.

2. Eligibility

You must be at least 18 years old (or the age of majority where you live) and able to enter into a binding contract to use the Services or make purchases. If you use the Services on behalf of a company, you represent that you are authorized to bind that company to these Terms.

3. Our Services

Appmidia designs, develops and operates digital products and services, including mobile and web applications, software features, digital content and related professional services. The features, content and prices of each product or service are described at the point of sale or in a separate proposal or order form. Where a separate written agreement exists, it prevails over these Terms in case of conflict.

4. Accounts

Some Services may require an account. You are responsible for providing accurate information, keeping your credentials confidential and for all activity under your account. Notify us immediately at contact@appmidia.com of any unauthorized use.

5. Orders, prices and payment

6. Subscriptions, automatic renewal and cancellation

Some Services may be offered as subscriptions billed in advance on a recurring basis (for example, monthly or annually). Subscriptions renew automatically at the end of each billing period at the then-current price until you cancel. Before your first charge, we will clearly show the price, billing frequency and renewal terms.

7. Refunds

Refunds are governed by our Refund & Cancellation Policy, which is part of these Terms.

8. Delivery

Our products and services are delivered digitally. Delivery methods and timeframes are described in our Delivery Policy.

9. Chargebacks and payment disputes

If you have a problem with a charge, please contact us first at contact@appmidia.com — most issues can be solved quickly. If you file a chargeback or dispute, we may suspend access to the related Services while the dispute is reviewed and provide transaction records to the payment processor.

10. Acceptable use

You agree not to: use the Services for any unlawful, fraudulent or harmful purpose; infringe the rights of others; upload malware or attempt to gain unauthorized access to our systems; interfere with the security or operation of the Services; scrape, copy or reverse engineer the Services except as permitted by law; send spam; or resell the Services without our written permission.

11. Intellectual property

The Services, including software, design, text, graphics, logos and the Appmidia brand, are owned by Appmidia LLC or its licensors and are protected by intellectual property laws. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. Ownership of deliverables created under a separate agreement is defined in that agreement.

12. Your content

You retain ownership of the content you submit to us. You grant us a non-exclusive license to use it only as needed to provide and improve the Services. You are responsible for ensuring you have the rights to the content you submit.

13. Third-party services

The Services may include or link to third-party services (such as payment processors, app stores or advertising platforms). Their terms and policies apply to your use of them, and we are not responsible for third-party services.

14. Disclaimer of warranties

Except as expressly stated in these Terms and to the extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted or error-free. Nothing in these Terms limits rights you have under consumer protection laws that cannot be waived.

15. Limitation of liability

To the maximum extent permitted by law, Appmidia LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Services is limited to the amount you paid us for the Services giving rise to the claim in the 12 months before the event, or USD 100, whichever is greater.

16. Indemnification

You agree to indemnify and hold harmless Appmidia LLC and its members, employees and agents from claims, losses and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms or misuse of the Services.

17. Suspension and termination

We may suspend or terminate your access to the Services if you breach these Terms, if required by law, or to prevent fraud or harm. You may stop using the Services at any time. Sections that by their nature should survive termination will survive.

18. Export controls and sanctions

You may not use or export the Services in violation of U.S. export control and economic sanctions laws. You represent that you are not located in a country subject to comprehensive U.S. sanctions and are not listed on any U.S. government list of prohibited or restricted parties.

19. Governing law and disputes

These Terms are governed by the laws of the state in which Appmidia LLC is organized, United States, without regard to conflict of law rules. Before filing any claim, you agree to contact us at contact@appmidia.com and try to resolve the dispute informally for at least 30 days. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in the state in which Appmidia LLC is organized, except that either party may bring an individual claim in small claims court. If you are a consumer residing in the EEA, UK, Brazil or another jurisdiction whose laws grant you the right to sue in your home courts or apply mandatory local law, nothing in this section limits those rights.

20. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date shows the latest version. Material changes will be notified in advance where required. Continued use of the Services after changes take effect means you accept the updated Terms.

21. General

These Terms, together with the policies referenced in them, are the entire agreement between you and us regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. If these Terms are translated, the English version prevails in case of conflict, to the extent permitted by law.
